CatalystUI LLC

Terms of Service

Effective date: 1 January 2026. These terms govern use of the CatalystUI LLC website and the professional services delivered from the Syracuse studio.

These Terms of Service are published by CatalystUI LLC, a computer integrated systems design practice with its studio at 1652 W 2115 S, Syracuse - 84075-8556, United States (US). They set out the rules that apply when a person visits the website, submits an enquiry, or engages the company for professional work. The terms are written to be understood by an operator as well as by a legal reader, and each section explains both the rule and the reason behind it.

By accessing the website or engaging CatalystUI LLC, a person agrees to these terms. If any part is unacceptable, the appropriate response is to stop using the website and to contact the company so that an alternative arrangement can be discussed. Where a signed engagement contract exists between CatalystUI LLC and a client, that contract governs the professional work and these terms apply to the extent that they do not conflict with it.

These terms describe the relationship between the company and the people it serves, including the scope of the services, the responsibilities of each party, the treatment of intellectual property, the limits of liability and the process for resolving a disagreement. They should be read alongside the Privacy Policy, which explains how personal information is handled.

Acceptance of These Terms

A person accepts these terms by browsing the website, by submitting the contact form, or by entering into an engagement with CatalystUI LLC. Acceptance is effective at the moment of the first such act and continues for as long as the person uses the website or receives the services.

Where a person accepts these terms on behalf of an organisation, that person represents that they have the authority to bind the organisation, and references to you in these terms include that organisation. If the person does not hold that authority, they should not accept the terms on the organisation behalf.

The company may revise these terms from time to time as described in the section on changes. Continued use of the website after a revision takes effect constitutes acceptance of the revised terms, and a person who does not accept a revision should stop using the website.

Eligibility and Business Use

The website and services of CatalystUI LLC are intended for a professional and business audience. A person who uses the website represents that they are at least the age of majority in their jurisdiction and that they are not barred from receiving the services under the law that applies to them.

The services are designed for enterprise operators, product organisations and technical teams. They are not directed at consumers seeking personal software support, and the company does not operate a consumer help desk. Enquiries that fall outside this professional scope may be declined, and the company will explain the reason where it does so.

The company may refuse access to the website or decline an engagement where it has a reasonable belief that the use would violate the law, infringe the rights of another party, or present a security or reputational risk that the company is not prepared to accept.

Description of Services

CatalystUI LLC provides computer integrated systems design services, including interface system design, integration architecture, dashboard engineering, design token governance, accessibility audits and frontend modernization programs. Each service is described on the website, and the description on the website is an outline rather than a complete specification of the work.

The precise scope of a service is defined in a written proposal or engagement contract that identifies the deliverables, the milestones, the assumptions and the fees. Where the website description and the engagement contract differ, the engagement contract governs for that engagement.

The company may improve, retire or replace a service line over time. A change to the published services does not affect an engagement that is already under way, unless the parties agree in writing to vary the engagement.

Engagements and Proposals

An engagement begins when CatalystUI LLC and a client organisation sign a written agreement or exchange written confirmation of a proposal. A proposal remains valid for the period stated in it, and if no period is stated it remains valid for thirty days from the date it is issued.

A proposal is based on the information available at the time it is prepared, including any assumptions about existing systems, data quality and the availability of client staff. If an assumption proves incorrect, the parties will discuss the effect on scope, schedule and fees before work continues.

Either party may decline to proceed with a proposal without giving a reason. The company may also decline an engagement where a conflict of interest exists or where the work would require a commitment that the studio cannot responsibly make.

Client Responsibilities

A client organisation agrees to provide the information, access and decisions that the engagement requires. This includes naming a project contact with authority to approve work, supplying accurate descriptions of existing systems, and responding to questions within a reasonable time so that the schedule can hold.

The client is responsible for the accuracy of the information it supplies and for ensuring that it has the right to share that information with the company. Where client data is used for design or testing, the client should supply anonymised or synthetic data where possible, and should not send sensitive personal information unless the engagement specifically requires it and the appropriate safeguards are in place.

The client is responsible for the conduct of its own users and for complying with the laws that apply to its business. The company is responsible for performing the services with the skill and care expected of a professional practice, but it does not assume responsibility for decisions that lie within the client business domain.

Fees and Payment

Fees are set out in the engagement contract and may be structured as a fixed price for a defined deliverable, a time based rate, or a retainer for ongoing work. Unless the contract states otherwise, invoices are payable within thirty days of the invoice date.

Expenses that are reasonably incurred in delivering the services, such as travel for an agreed site visit, are reimbursed at cost with supporting documentation. The company does not incur significant expenses without prior written agreement from the client.

Amounts that remain unpaid after the due date may attract a late charge as stated in the contract. The company will send a reminder before applying a charge and will work with a client that is experiencing difficulty, because a clear conversation is more useful than a dispute. Where non payment continues, the company may suspend work after giving written notice.

Changes and Scope Control

Changes to an engagement are managed through a written change request that describes the change, its effect on the schedule and its effect on the fees. Work on a change begins once both parties have agreed to the change request, so that neither party is surprised by an unexpected adjustment.

Small clarifications that do not alter the scope, the schedule or the fee may be handled by written message rather than a formal change request. The company distinguishes clearly between a clarification and a change so that the record remains honest.

Where a client requests a change that the company believes will harm the quality of the result or the stability of the system, the company will explain the concern and propose an alternative. The client remains free to direct the work, but the company will record its recommendation in writing.

Permitted Website Use

A visitor may read, download for personal reference and print the published material for a lawful purpose connected with evaluating or engaging the services of CatalystUI LLC. This permission does not transfer ownership of the material and does not permit commercial republication.

A visitor may link to the website in a way that is accurate and does not misrepresent the relationship with the company. A link that suggests an endorsement, partnership or affiliation that does not exist is not permitted, and the company may ask for such a link to be removed.

The company welcomes enquiries from journalists, researchers and partners who wish to reference its work. In such cases a note to support@camofire.buzz describing the intended use will receive a prompt reply.

Prohibited Conduct

A visitor must not attempt to gain unauthorised access to the website, its servers or any connected system, and must not probe, scan or test the vulnerability of the website without written permission from the company. Security research is welcome when it is coordinated in advance, and the company will work with a researcher who reports a finding responsibly.

A visitor must not use the website to transmit malicious code, to send unsolicited commercial messages, to scrape content at a volume that impairs availability, or to interfere with the experience of other visitors. Automated access that respects published limits and identifies itself is acceptable, while access that evades limits is not.

A visitor must not use the services or the website to infringe the rights of another party, to violate the law, or to facilitate conduct that is harmful. The company may suspend access and, where appropriate, report conduct to the relevant authority.

Intellectual Property

The website, its text, its visual design and the underlying code that renders the catalysis bench motif are owned by CatalystUI LLC and are protected by copyright and related rights. The names, logos and service descriptions associated with the company are its marks and may not be used in a way that causes confusion.

Nothing in these terms transfers ownership of the company intellectual property to a visitor or client. A client receives the rights described in the engagement contract and no broader rights. The company retains ownership of its pre existing methods, tools, templates and know how, including the design patterns that are reused across engagements.

The company respects the intellectual property of others. If a person believes that material on the website infringes a right they hold, they should contact the company with enough detail to identify the material and the right, and the company will investigate promptly.

Deliverables and Ownership

Ownership of the deliverables produced during an engagement is set out in the engagement contract. A common arrangement is that the client receives ownership of the bespoke deliverables upon full payment, while the company retains ownership of its pre existing materials and grants the client a licence to use those materials as part of the delivered system.

Where a deliverable incorporates open source components, the client receives those components under the terms of their respective licences, and the engagement contract identifies the significant components and their licences. The company does not embed a component with a licence that would impose an unexpected obligation on the client without disclosing it.

The company may retain a copy of the deliverables for its records and may describe the engagement in general terms for professional reference, provided that confidential information is not disclosed and the client is not identified without permission.

Third Party Materials

An engagement may involve third party platforms, libraries, hosting providers or data sources that are controlled by other organisations. The company selects these materials with care and discloses the significant ones to the client, but it does not control their availability, their pricing or their terms.

Where a third party material changes in a way that affects a deliverable, the company will advise the client of the effect and propose a response. The company is not responsible for a change made by a third party, but it will help the client adapt within the scope of a change request.

A client is responsible for maintaining the licences and subscriptions for third party materials that it owns or operates, and for complying with the terms attached to those materials.

Confidentiality

Each party agrees to protect the confidential information of the other and to use it only for the purpose of the engagement. Confidential information includes non public business information, technical designs, client data and any material marked as confidential or that a reasonable person would treat as confidential given the circumstances.

Confidential information may be shared with employees and service providers who need it to perform the work, provided that they are bound by confidentiality obligations at least as protective as those in the engagement contract. The receiving party remains responsible for a breach caused by a person to whom it disclosed the information.

Confidentiality obligations do not apply to information that is public through no fault of the receiving party, that was already known without a duty of confidence, that is independently developed, or that a court or regulator compels to be disclosed, provided that the receiving party gives prompt notice where the law allows.

Warranties and Disclaimers

CatalystUI LLC warrants that it will perform the services with the skill and care expected of a professional practice of its kind, and that the deliverables will materially conform to the specification in the engagement contract. This is the principal warranty offered, and it is the warranty that matters most in practice.

To the fullest extent permitted by law, the website and its content are provided without further warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non infringement. The company does not warrant that the website will be uninterrupted, secure or free of error, although it works to keep it available and sound.

The company does not warrant a particular business result, such as a specified increase in revenue or a specified reduction in cost, because such results depend on factors outside the control of the practice. The company will provide honest advice and sound engineering, which are the inputs it can genuinely guarantee.

Limitation of Liability

To the fullest extent permitted by law, CatalystUI LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption, arising out of or relating to the website or the services, even if the company has been advised of the possibility of such damages.

The total aggregate liability of the company for all claims arising out of or relating to an engagement is limited to the total fees paid by the client for the services giving rise to the claim. This limit does not apply where the law forbids it, including liability for fraud, wilful misconduct or a matter that cannot be limited by agreement.

Each provision of this section operates separately. If a provision is found to be unenforceable, the remaining provisions continue to apply, and the parties intend that the limits reflect a reasonable allocation of risk given the fees charged for the services.

Indemnification

A client agrees to indemnify and hold harmless CatalystUI LLC against claims, losses and reasonable costs that arise from the client content, from data the client supplied, from the client use of a deliverable in a manner not intended by the engagement, or from the client breach of these terms or the engagement contract.

The company agrees to indemnify and hold harmless the client against claims that a bespoke deliverable created solely by the company infringes the intellectual property of a third party, provided that the client notifies the company promptly, allows the company to control the defence, and does not settle the claim without consent.

A party seeking indemnity must provide prompt notice, reasonable cooperation and the opportunity to control the defence. An indemnity does not cover a claim to the extent that it arises from the other party own negligence or breach.

Termination

An engagement may be terminated by either party for convenience on the notice stated in the engagement contract, or immediately for material breach that remains uncured after a written notice period. The website access of a person may be suspended or ended where that person breaches these terms.

Upon termination, the client pays for work performed and expenses incurred up to the effective date of termination, and the company delivers the work in progress to the extent it has been paid for. Each party returns or destroys the confidential information of the other, except where a legal obligation requires retention.

Sections that by their nature should survive termination, including those on intellectual property, confidentiality, liability, indemnity and governing law, continue to apply after the engagement ends.

Governing Law and Disputes

These terms and any dispute arising out of or relating to them are governed by the laws of the State of Utah and the applicable federal law of the United States, without regard to conflict of law principles. The courts located in Utah have jurisdiction over a dispute that proceeds to litigation.

Before resorting to formal proceedings, the parties agree to attempt to resolve a dispute through good faith discussion, beginning with a written notice that describes the issue and the outcome sought. The parties will meet, virtually or in person, within a reasonable time and will exchange the information needed to understand the matter.

If a direct discussion does not resolve the dispute, the parties may agree to mediation before litigation. Nothing in this section prevents a party from seeking urgent relief from a court where the circumstances require it.

General Provisions

These terms, together with the Privacy Policy and any engagement contract, form the entire agreement between the parties on their subject matter and supersede earlier discussions on that subject. A waiver of a breach is not a waiver of a later breach, and a failure to enforce a provision is not a permanent surrender of it.

If a provision is held invalid or unenforceable, it is modified to the minimum extent necessary to make it enforceable, and if that is not possible the provision is severed while the rest of the terms continue in force. The headings in these terms are for convenience only and do not affect interpretation.

A party may not assign an engagement without the written consent of the other party, except to a successor in a merger or a sale of substantially all assets. Notices under these terms are given in writing to the addresses stated in the engagement contract or to support@camofire.buzz for communications with the company.

How to Contact Us

Questions about these terms can be sent to CatalystUI LLC at the details below. A person who wishes to report a security concern, to request permission for a use not covered by these terms, or to discuss a proposed engagement is welcome to make contact at any time.

The company will acknowledge a legal or contractual query promptly and will answer it within a reasonable time. Where a query concerns an active engagement, the project contact should also be informed so that the engagement record remains complete.
